These Terms of Service (the "Terms") form an agreement between you and Tile River LLC, a Florida limited liability company ("TileRiver," "we," "us," or "our"). They govern your access to and use of tileriver.com, TileRiver Studio, TileRiver Explore, public collections, collaborative workspaces, and related self-service websites, applications, features, and services (collectively, the "Services").

IMPORTANT: STUDIO IS ONLY FOR DE-IDENTIFIED CONTENT AND NON-CLINICAL USE. DO NOT UPLOAD PROTECTED HEALTH INFORMATION, IDENTIFIABLE PATIENT INFORMATION, OR OTHER PATIENT-IDENTIFYING CONTENT. USERS ARE RESPONSIBLE FOR VERIFYING THAT EVERY UPLOAD AND COMMUNICATION IS PROPERLY DE-IDENTIFIED. ACCOUNTS EXPOSING PATIENT-IDENTIFYING INFORMATION ARE SUBJECT TO SUSPENSION AND REMOVAL OF THE OFFENDING DATA.

THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT AND A WAIVER OF CLASS OR REPRESENTATIVE PROCEEDINGS, TO THE EXTENT PERMITTED BY APPLICABLE LAW. PLEASE REVIEW SECTION 17.

1. Acceptance and scope

1.1By creating an account, selecting an acceptance control, purchasing a subscription, submitting content, or accessing or using the Services, you agree to these Terms and acknowledge the TileRiver Studio Privacy Policy. If you do not agree, do not use the Services.

1.2If you use the Services for a laboratory, university, company, research group, or other organization, you represent that you are authorized to act for that organization. In that case, "you" includes the organization to the extent applicable, and the organization is responsible for the activities of its authorized users. If you lack authority to bind an organization, you may use the Services only in your individual capacity and only with materials you are independently authorized to use.

1.3Additional transaction-specific terms disclosed when purchasing a plan or AI credits, and applicable third-party model licenses disclosed in connection with a particular model, apply to those transactions or models. In the event of a conflict, those specific terms govern the relevant transaction or model only, except that the prohibition on patient-identifying information in these Terms always applies to Studio.

1.4Nothing in these Terms limits rights or remedies that cannot lawfully be excluded, restricted, or waived under the laws applicable to you.

2. Eligibility and accounts

2.1You must be at least 18 years old, legally capable of entering into a binding agreement, and legally permitted to use the Services. The Services may be available internationally, but availability is subject to applicable laws, sanctions, export restrictions, and technical limitations. We may decline access where legally necessary.

2.2You must provide accurate account and billing information and keep it reasonably current. You are responsible for securing your credentials, access tokens, and devices, for maintaining appropriate workspace permissions, and for promptly reporting suspected unauthorized access through tileriver.com/contact.

2.3Each workspace owner or administrator is responsible for invitations, membership, roles, sharing permissions, and the actions of users they authorize, subject to TileRiver's own legal obligations and any failures of the Services for which TileRiver is responsible. You may not share individual credentials, impersonate others, evade access controls, or gain access to materials for which you lack authorization.

2.4If you participate in an organizational workspace, its authorized administrator may manage your access and content according to the permissions offered by the Services. Ending your individual account does not automatically remove content that belongs to another person or organization or that remains in an independently administered workspace.

3. Strict prohibition on patient-identifying information

3.1Studio does not accept protected health information ("PHI"), individually identifiable health information, or other information that identifies or could reasonably identify a patient in connection with health, medical care, or pathology (together, "Prohibited Patient Data"). This prohibition applies regardless of whether HIPAA applies to you, whether a patient has consented to disclosure, or whether the material is intended for research, teaching, consultation, or another beneficial purpose.

3.2Prohibited Patient Data must not appear anywhere in materials supplied to Studio, including:

  • Whole-slide images and other image pixels, slide labels, barcodes, thumbnails, gross or microscope photographs, and embedded image layers.
  • DICOM metadata, private tags, case and specimen identifiers, filenames, file paths, accession numbers, and uploaded documents, including PDFs.
  • Collections, descriptions, annotations, measurements, comments, discussion messages, invitations, shared links, AI prompts, model inputs, outputs, and any other text or media entered into the Services.
  • Combinations of dates, locations, rare diagnoses, codes, or other characteristics that reasonably permit identification, even when a patient's name has been removed.

3.3Before submitting any material, you must independently confirm that it contains no Prohibited Patient Data and that you have the legal rights, institutional approvals, and permissions required for its use, processing, publication, and disclosure. If HIPAA de-identification requirements apply to the source material, you are responsible for satisfying an applicable method, such as Expert Determination or Safe Harbor, and any other applicable laws or institutional policies. Replacing a name with a code or removing selected metadata fields does not, by itself, establish adequate de-identification.

3.4Studio may provide automated assistance for removing or checking identifying information in certain supported metadata, filenames, slide labels, annotations, and text fields. These tools are not a comprehensive de-identification service and do not certify that a dataset is anonymous, de-identified under HIPAA, or safe to publish. In particular, Studio does not guarantee inspection of identifying information appearing within arbitrary image pixels or the contents of arbitrary uploaded documents. A successful upload, the absence of a warning, or an ability to publish does not establish that the content is permitted.

3.5You must not rely on Studio to discover or remove prohibited information after upload. You must review content before submission, and again before making it accessible through links, collaborators, Explore, or AI features where appropriate. You may not submit Prohibited Patient Data to us through the contact form or a support request.

3.6If you discover or reasonably suspect an exposure, immediately stop further disclosure, disable sharing where possible, suspend any associated AI activity, and notify us promptly through tileriver.com/contact. Do not include the patient's identifying information in your report. You must cooperate reasonably in lawful containment and remediation efforts.

3.7If we determine that an account or workspace has exposed Prohibited Patient Data, we will suspend affected access and remove the offending data. We may also block uploads, disable public links, interrupt processing, suspend related accounts, or terminate access where warranted by the seriousness or recurrence of the violation. We may take protective action without advance notice when necessary to contain a risk, comply with law, or protect affected individuals. We may preserve information only as legally required or reasonably necessary to address an incident, dispute, or investigation. We may make notifications required by law. We cannot retrieve copies already obtained by other users, search engines, or third parties.

3.8You are responsible for violations caused by materials or instructions you submit and for the resulting third-party claims to the extent provided by Section 16 and applicable law. Nothing in these Terms excuses TileRiver from responsibility imposed on TileRiver by applicable law for its own conduct.

4. Research, education, and non-clinical use only

4.1Studio is intended for research, education, teaching, and non-clinical collaboration involving de-identified material. It must not be used for primary diagnosis, patient-specific consultation or management, treatment decisions, emergency decisions, reporting clinical results, or other clinical workflows involving real patients.

4.2Studio, community content, models, measurements, annotations, comparisons, and AI-generated results are not medical advice and are not representations that a product or model is cleared, approved, validated, or suitable for a regulated clinical purpose. Scientific and research results require independent assessment and appropriate validation. You must comply with applicable professional, institutional, ethical, research, and regulatory obligations.

4.3TileRiver does not verify the professional qualifications, institutional affiliations, research claims, or accuracy of all contributors or published materials. User-supplied educational content must not be treated as clinical guidance solely because it appears on the Services.

5. Your content and permissions

5.1"User Content" means images, files, documents, annotations, metadata, messages, collections, model configurations, and other materials you submit, create, or publish through the Services. As between you and TileRiver, you or your licensors retain ownership of User Content. You represent that you have the rights and authorization necessary to provide and use it as permitted by these Terms.

5.2You grant TileRiver and its service providers a nonexclusive, worldwide, royalty-free license to host, reproduce, store, normalize, process, display, transmit, index, back up, and otherwise handle User Content solely as reasonably necessary to provide, maintain, secure, troubleshoot, and improve the Services' functionality; comply with lawful requests; enforce these Terms; and perform actions you authorize, including requested AI inference and sharing. This license lasts only as necessary for those purposes, including applicable deletion and lawful retention periods.

5.3For content you intentionally make public through Explore, you additionally authorize TileRiver to display, distribute, preview, index, and promote that content within the Services and in links or previews referring to the published collection while it remains public. Other users receive only the access or download permissions actually made available through the applicable sharing feature and must respect intellectual-property and other applicable restrictions.

5.4We do not use User Content to train or fine-tune our models or third-party AI models without a separate, explicit, affirmative opt-in from an authorized rights holder. Uploading content, accepting these Terms, using inference, or buying AI credits does not constitute consent to training. A subsequent withdrawal of training consent applies to future processing, subject to applicable law and the terms of the specific authorization.

5.5You may remove or restrict content using supported tools, subject to collaboration permissions and legal restrictions. Removing content does not guarantee deletion of copies already downloaded, independently published, indexed, or received by others before removal.

5.6You grant TileRiver permission to use suggestions or feedback you voluntarily submit concerning the Services to develop and improve its products, without compensation, provided we do not treat private pathology content or confidential information as general feedback and do not use User Content for AI training without the separate authorization described above.

6. Workspaces, sharing, and Explore

6.1The Services may permit content to remain private, be shared with specified members, be accessible to anyone possessing a valid share link, or be published publicly on Explore. You are responsible for selecting the appropriate setting and verifying that every item is legally and appropriately shareable.

6.2Public means public. Materials made available through Explore may be viewed by people without an account, indexed by search engines, linked by third parties, copied where technically accessible, and retained outside TileRiver's control. Share links may be forwarded by their recipients. Removing a publication or resetting a link does not retract copies already obtained elsewhere.

6.3You may not disclose another person's private information, confidential research information, or copyrighted material without appropriate authority. You may not imply institutional sponsorship or endorsement without permission.

6.4TileRiver may reject, restrict, remove, or moderate content and collaboration features to address unlawful conduct, credible complaints, abuse, infringement, safety risks, or violations of these Terms. We are not obligated to review all material before publication, and we do not endorse or guarantee the accuracy of user-generated content.

7. AI Runner, marketplace models, and credits

7.1Eligible paid Studio plans may provide access to AI Runner and supported models, including models installed by authorized users, subject to technical requirements and applicable licensing conditions. Model execution may require separately purchased credits or other disclosed usage charges.

7.2AI results may be inaccurate, biased, incomplete, inconsistent, non-reproducible, or affected by image quality, model selection, parameters, and source data. You are responsible for reviewing outputs, determining lawful and permitted use, respecting model licenses, and independently verifying scientific conclusions. Studio AI must not be used for patient-specific clinical decisions.

7.3If you install or submit a model, you represent that you have authority to do so, that its code and dependencies are lawful and appropriately licensed, and that its operation will not compromise security, violate third-party rights, or process Prohibited Patient Data. We may impose technical limits, require security checks, or disable models presenting unreasonable risks.

7.4Requested model execution may involve processing by TileRiver or by a third-party model or infrastructure provider necessary to complete that request. Applicable third-party terms and privacy disclosures may apply. You must not submit materials to a model unless you have the necessary rights and have assessed its intended use and restrictions.

7.5Credit prices, consumption rules, permitted models, and any applicable expiration or refund conditions are those disclosed when the credits are purchased or the run is authorized, subject to mandatory law. Credits are not legal tender, may not be redeemed for cash except where required by law, and may not be transferred or resold without permission. Charges for attempted, incomplete, or failed jobs are governed by the usage terms disclosed for the relevant feature or transaction; we do not guarantee that all unsuccessful executions are free.

7.6We may pause or restrict computationally intensive jobs, abusive use, excessive resource consumption, insecure models, or workloads that threaten other users or service integrity. No model, marketplace listing, or result is guaranteed to remain available indefinitely.

8. Acceptable use

You agree not to, and not to assist others to:

(a) upload Prohibited Patient Data or use Studio for patient care or regulated clinical decisions;

(b) infringe intellectual-property, confidentiality, privacy, contract, or other legal rights, including by uploading material obtained in breach of institutional policy;

(c) attempt to identify or re-identify a person from supposedly de-identified content, or join Studio data with other information for such a purpose;

(d) gain unauthorized access to accounts, workspaces, systems, or networks, or circumvent authentication, quotas, usage controls, or security restrictions;

(e) introduce malicious code, engage in denial-of-service attacks, mine cryptocurrency without authorization, use abusive automation, or interfere with the Services or other users;

(f) scrape or bulk extract nonpublic content or personal information without authorization, or harvest contacts for unsolicited communications;

(g) impersonate another person or institution, misrepresent credentials, mislead users about research validity, or publish deceptive, fraudulent, defamatory, or unlawful material;

(h) reverse engineer or access software source code except to the extent expressly allowed by mandatory law or an applicable open-source license; or

(i) violate applicable export controls, sanctions, anti-abuse laws, or other applicable requirements.

We may investigate credible abuse and take proportionate protective action, including restrictions, suspension, removal, or reporting when required by law.

9. Plans, billing, renewals, and cancellation

9.1Studio offers free and paid workspace plans. The current plan prices, storage allowances, billing periods, and included features are displayed on our pricing and checkout pages and control the relevant subscription. Paid workspace pricing is not calculated per individual seat unless the applicable offer expressly says otherwise. Features and allowances may change prospectively as permitted by these Terms.

9.2By selecting a paid subscription, you authorize TileRiver and its payment processor, Stripe, to charge the payment method you provide for the stated recurring fees, applicable taxes, and purchases you separately authorize. We disclose recurring charges and the billing period at checkout. Subscriptions automatically renew for successive billing periods until canceled.

9.3You may cancel renewal at any time through available subscription controls or by contacting us at tileriver.com/contact. Cancellation prevents charges for subsequent billing periods, but ordinarily does not end already paid access before the current paid period expires. To avoid the next charge, request cancellation before the renewal is processed. We will honor cancellation and renewal-notice requirements imposed by applicable law.

9.4Fees already paid are generally nonrefundable, and unused portions of a billing period are not prorated or refunded, except where applicable law requires a refund, a particular offer expressly provides one, or TileRiver elects to issue a credit or refund. Canceling an account or ceasing use does not erase charges already incurred. Any legally required withdrawal or cooling-off rights remain available.

9.5Subscription upgrades, downgrades, and other plan changes take effect according to the terms shown when requested. Any immediate charges, credits, or billing adjustments will be disclosed before confirmation. We may change prices for future billing periods by giving notice required by applicable law and a reasonable opportunity to cancel before the changed price takes effect.

9.6If a payment fails or becomes overdue, we may retry the authorized payment method, request updated billing information, downgrade or limit paid features, or suspend further uploads or AI processing, subject to legally required notice and remedies. You remain responsible for valid outstanding charges. We may contest fraudulent payment disputes or misuse of promotions.

9.7Storage allowances are enforced as technical limits. Once a workspace reaches its storage quota, new uploads may pause until storage is freed or capacity is increased. We do not delete otherwise permitted User Content solely because its workspace has reached a quota. Restrictions or deletion may still occur for other reasons described in these Terms.

9.8Taxes may be collected where required. If you are responsible for taxes not collected by TileRiver, you must pay them as required by law. Payment processing is subject to Stripe's applicable terms and privacy practices.

10. Availability, backups, and service changes

10.1We seek to provide a reliable service but do not promise uninterrupted access, continuous availability, error-free operation, or compatibility with every device, file format, external service, or model. Maintenance, outages, network conditions, software changes, and third-party failures may affect access.

10.2We may modify, improve, restrict, replace, or discontinue features. Where a change materially and adversely affects a paid subscription, we will provide notice and applicable remedies as required by law and a reasonable opportunity to retrieve permitted content where practicable.

10.3You should maintain an independent, authorized copy of important research and educational materials. Although TileRiver may maintain operational backups, Studio is not intended to serve as your sole archival or disaster-recovery copy. We are not responsible for data loss to the extent excluded by applicable law and the limitations in Section 15.

10.4Experimental, preview, or beta features may be modified or withdrawn and should not be relied upon for critical or regulated purposes. We do not promise any particular model or experimental feature will remain available.

11. Suspension, termination, and deletion

11.1You may stop using the Services, cancel renewals, and request account deletion at any time through available account controls or tileriver.com/contact. A workspace administrator may separately manage organizational or collaborative content according to its access rights.

11.2We may suspend or terminate an account, workspace, model, upload, or publication for a material violation of these Terms, credible unlawful conduct, payment abuse, threats to security, or other serious harm. Exposures of Prohibited Patient Data are subject to the suspension and removal measures in Section 3. Where practicable and safe, we may provide notice and an opportunity to resolve less serious violations.

11.3Studio content and associated account data designated for deletion will be deleted from our systems within 30 days after a valid deletion request or account closure. This includes associated stored material maintained for ordinary service operation, subject to limited information that must or may lawfully be retained for accounting, fraud prevention, security investigations, legal compliance, dispute resolution, or enforcement of legal rights. Such retained information is limited to the relevant purpose and deleted when the lawful need ends. Data belonging to another user or independently managed workspace is not automatically deleted by an individual account closure.

11.4Deleting content from our systems cannot delete copies already downloaded or disclosed to other people, search engines, third-party websites, or independently operated systems. We may immediately block public access to prohibited content without waiting for ordinary deletion to complete.

11.5Before closing an account, you should export content you are entitled to retain. We do not promise to restore content after deletion, suspension for Prohibited Patient Data, or final termination.

12. TileRiver intellectual property

12.1TileRiver and its licensors retain all rights in the Services, software, designs, interfaces, documentation, trademarks, and other proprietary materials, apart from User Content and components licensed under separate open-source or third-party licenses.

12.2Subject to compliance with these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to access the Services for their intended purposes during the relevant subscription or availability period. No ownership of TileRiver intellectual property transfers to you.

12.3You may not use TileRiver's name, marks, or branding to imply sponsorship or endorsement without prior permission, except for truthful identification of the Services as permitted by law.

13. Copyright and content complaints

13.1If you believe content on the Services infringes copyright or violates your rights, report it through tileriver.com/contact. Provide a description of the protected work or right, the location of the disputed material, your contact information, and sufficient facts for us to evaluate the report. For a copyright notification under applicable law, include the legally required statements and an authorized electronic or physical signature.

13.2We may remove or disable access to disputed content and may terminate repeat infringers in appropriate circumstances. Counter-notifications and restoration requests may be submitted through the same contact page and will be handled where applicable law provides a process. Knowingly false claims may give rise to liability.

13.3TileRiver does not undertake a general obligation to monitor all uploaded content in advance, and posting a collection does not constitute an endorsement or ownership claim by TileRiver.

14. Third-party services and links

14.1The Services may incorporate or link to products, models, content, and services operated by third parties, including payment processing and requested model execution. Those providers may have their own terms and privacy practices. Your use of third-party components must comply with their applicable licenses and lawful requirements.

14.2We are not responsible for independently operated third-party products or websites solely because they are linked or available through the Services, except where our own conduct, agreements, or applicable law make us responsible.

15. Disclaimers and limitation of liability

15.1TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, USER CONTENT, PUBLIC COLLECTIONS, MODELS, AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. TILE RIVER DOES NOT WARRANT THAT MATERIALS ARE DE-IDENTIFIED, SUITABLE FOR CLINICAL USE, ERROR-FREE, OR COMPLETE.

15.2TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TILE RIVER AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST RESEARCH OPPORTUNITIES, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.3TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TILE RIVER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TILE RIVER FOR THE AFFECTED STUDIO WORKSPACE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

15.4Nothing in these Terms limits or excludes liability that cannot legally be limited, including liability for fraud, willful misconduct, or personal injury where applicable law forbids limitation, or your mandatory statutory consumer, privacy, or data-protection rights. The limitations apply only to the extent lawful and do not relieve TileRiver of independent legal duties. Some jurisdictions do not permit certain warranty or damage limitations, in which case those limitations apply only to the lawful extent.

16. Indemnification

16.1If you use the Services in a commercial, professional, or organizational capacity, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless TileRiver and its directors, officers, employees, and agents against third-party claims, damages, judgments, and reasonable expenses arising from (a) Prohibited Patient Data you upload or disclose; (b) your unlawful or unauthorized User Content; (c) your infringement or misappropriation of third-party rights; or (d) your material violation of these Terms.

16.2This obligation does not apply to the extent a claim results from TileRiver's negligence, misconduct, security failures, or independent legal violations. We will provide reasonable notice and cooperation and will not settle a claim in a manner that imposes an admission or nonmonetary obligation on you without your consent, which will not be unreasonably withheld.

16.3If you are an individual consumer, any indemnification obligation applies only to the extent enforceable under laws protecting consumers in your jurisdiction.

17. Disputes, arbitration, and class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO BRING A CLAIM IN COURT.

17.1Informal resolution. Before initiating arbitration or litigation, a party must submit a dispute notice identifying the account or parties, a description of the dispute, and the relief requested. Notices to TileRiver must be submitted through tileriver.com/contact, selecting the legal or general inquiry option. We may send notices to the email associated with your account. Both sides will attempt in good faith to resolve the dispute for 30 days after a notice is received, unless a limitation period or urgent relief requires earlier action.

17.2Individual binding arbitration. Except for disputes expressly excluded below, claims arising from these Terms or the Services will, to the extent permitted by applicable law, be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules for consumer matters or Commercial Arbitration Rules for qualifying business disputes. The Federal Arbitration Act governs interpretation and enforcement of this arbitration provision to the extent applicable. Arbitration may be conducted remotely or on written submissions where the applicable rules permit. Any required in-person hearing will take place in Miami-Dade County, Florida, unless applicable consumer rules or mandatory law require a different location.

17.3Costs and decision. Arbitration fees and procedures will be governed by the applicable AAA rules and mandatory law. No consumer must pay arbitration costs prohibited by applicable law. The arbitrator may grant relief available under applicable law on an individual basis. A court of competent jurisdiction may enter judgment on an arbitration award.

17.4Exceptions. Either party may bring a claim in a court of competent jurisdiction if it qualifies for small claims court. Either party may seek temporary injunctive relief from a court to protect intellectual property, confidential information, or security pending resolution of the dispute. This agreement does not prevent complaints to governmental, consumer-protection, or data-protection authorities or waive rights to public injunctive relief where such rights cannot be waived.

17.5Class-action waiver. To the extent permitted by applicable law, you and TileRiver agree to bring disputes only in an individual capacity, and not as a plaintiff, class member, or representative in any purported class, collective, consolidated, or representative proceeding. Claims that cannot lawfully be subjected to this waiver remain subject to applicable law. If a court determines a particular claim or remedy cannot be arbitrated individually, only that claim or remedy will proceed in court to the extent legally required.

17.6Right to opt out of arbitration. You may opt out of the arbitration agreement and class-action waiver by submitting a request through tileriver.com/contact within 30 days after first accepting these Terms. Include your account email, an explicit statement that you opt out of arbitration, and enough information to identify the account. Do not include patient information. Opting out does not terminate the remaining Terms.

17.7Governing law and courts. These Terms are governed by the laws of the State of Florida, United States, excluding conflict-of-laws rules, except where mandatory law of your country, state, or region affords rights that cannot be displaced by that choice. Disputes not subject to enforceable arbitration will be resolved in the state or federal courts located in Miami-Dade County, Florida, to the extent such venue is legally permissible. Both parties consent to those courts for such disputes, subject to mandatory jurisdictional and consumer protections.

18. Changes, notices, and general provisions

18.1We may revise these Terms prospectively. We will post the updated version and effective date and provide additional notice or request renewed consent when required by law. Changes will not retroactively remove accrued rights where prohibited. If you do not agree to an updated version, stop using the Services and cancel any subscription, subject to applicable remedies.

18.2We may provide legal and service notices electronically through your account, the Services, or the email address associated with your account, as permitted by law. You agree to receive electronic communications and maintain a usable contact email, subject to applicable consent requirements.

18.3If a provision is unenforceable, the remainder continues in effect, except where applicable law requires otherwise. Failure to enforce a provision is not a waiver. Section headings are for convenience. These Terms do not create an agency, partnership, employment, or fiduciary relationship.

18.4We may assign our rights and obligations in connection with a merger, reorganization, or transfer of the Services as permitted by law, subject to applicable notice and privacy protections. You may not transfer a paid account or subscription without our consent unless applicable law provides otherwise.

18.5Neither party is responsible for a failure caused by events beyond its reasonable control, except for payment obligations already due or duties that applicable law does not permit excluding. Provisions that by their nature should survive termination, including accrued payments, content rights needed for lawful wind-down, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution, survive to the applicable extent.

18.6These Terms, together with purchase-specific terms expressly presented to you and applicable model licenses, constitute the agreement governing the Services. If a translated version is provided, the English version governs to the extent legally permissible.
